Terms of Service
Draft for counsel review — not effective until formally approved and published.
These Terms govern business use of ShelfHarbor by licensed cannabis processors, brands, and their authorized personnel. “ShelfHarbor,” “we,” and “us” mean the company operating the ShelfHarbor service, which will be identified before these Terms become effective.
1. Business service and eligibility
ShelfHarbor is a business inventory-analysis service. You must be at least 18, act for a lawful business, and have authority to bind that business. The service is not offered to consumers and does not sell, handle, advertise, or arrange cannabis transactions.
2. Accounts and authorized users
You are responsible for accurate account information, authorized-user access, password security, and activity under your workspace. Notify us promptly of suspected unauthorized access. You may not access another customer’s workspace or share ShelfHarbor access with an unauthorized person.
3. METRC authorization
You represent that you are authorized by the applicable licensee to provide the METRC credentials and facility access you connect. You will use a dedicated, least-privilege reporting user where available and remain responsible for configuring and revoking that user. You authorize ShelfHarbor to use the credentials solely to retrieve the reports needed to provide the service. You may revoke access by disabling the METRC user or disconnecting the integration.
4. Read-only analytics; not a compliance system
ShelfHarbor organizes inventory information obtained from customer-authorized sources. It is not the regulatory system of record, does not submit compliance transactions, and is not legal, regulatory, accounting, or inventory-control advice. You must verify material decisions and compliance obligations in METRC and your own records.
5. Forecast limitations
Velocity, days-of-supply, stockout, and trend outputs are estimates based on observed changes in reported on-hand inventory. Transfers, adjustments, reporting delays, missing records, product renaming, and other activity may affect them. Forecasts are decision-support signals, not audited sales or guaranteed outcomes.
6. Customer data
You retain ownership of data you provide or authorize us to retrieve. You grant us a limited right to host, process, reproduce, and analyze that data only to operate, secure, support, and improve your service. We will not expose one customer’s identifiable inventory data to another customer.
7. Acceptable use
You may not use ShelfHarbor unlawfully; obtain data without authority; interfere with the service; bypass access controls; introduce malicious code; scrape or reverse engineer the service except where law expressly permits; or use outputs to misrepresent regulatory, sales, or inventory records.
8. Subscriptions and payment
Plans renew monthly at the price shown when ordered until cancelled. QuickBooks or another disclosed payment provider may process ACH or card payments under its own terms. ShelfHarbor does not store full bank-account, routing, or card numbers. Taxes may be added where required. Cancellation stops future renewals and does not automatically refund a completed billing period unless required by law or stated at purchase.
9. Service changes and availability
We may maintain, modify, or discontinue features and may suspend access for security risk, nonpayment, unlawful use, or material breach. METRC, government datasets, hosting providers, and other third-party systems may be unavailable or change without our control.
10. Confidentiality and security
Each party will protect the other’s nonpublic business information using reasonable care. We use administrative, technical, and organizational safeguards appropriate to the service, but no system is completely secure. Security and privacy practices are further described in the Privacy Policy and any applicable data-processing addendum.
11. Intellectual property
ShelfHarbor and its software, interfaces, documentation, and branding belong to us or our licensors. No ownership transfers to you. Feedback may be used without restriction or compensation, provided it does not identify your confidential data.
12. Disclaimers and liability
The service is provided on an “as available” basis to the extent permitted by law. We disclaim implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. The final liability cap, exclusions of consequential damages, indemnities, governing law, dispute process, and required notices will be inserted following counsel review and before launch.
13. Termination and data return
Either party may terminate as allowed by the selected plan. After termination, access ends and customer data will be retained or deleted under the Privacy Policy and applicable law. Before termination, you should export any information you need for your records.
14. Changes and contact
Material changes will be posted with a new version and, when appropriate, require renewed acceptance. Questions may be sent to legal@shelfharbor.com.
